1. Acceptance of Terms

By accessing or using the Ocnite website or engaging any of our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. These terms apply to all visitors, prospects, and clients.

2. Services Description

Ocnite SRL provides the following services:

Employer of Record (EoR): we act as the legal employer of your designated personnel in the Republic of Moldova, managing employment contracts, payroll, social contributions, and compliance under Moldovan law and applicable international agreements.

Company Formation: assistance with incorporating entities in Moldova (MITP), Estonia, Georgia, UAE, Malta, and Delaware.

Accounting and Compliance: ongoing bookkeeping, tax filing, and regulatory reporting.

Payroll and HR: multi-country payroll processing, employment contract drafting, and HR administration.

The specific scope, deliverables, and fees for each service are defined in individual service agreements.

3. Eligibility

Our services are available to legal entities incorporated in any jurisdiction and to individual professionals aged 18 or older. By engaging our services, you represent that you have the legal authority to enter into a binding agreement on your own behalf or on behalf of the entity you represent.

4. Client Responsibilities

Clients agree to:

Provide accurate, complete, and up-to-date information and documentation as required for service delivery, submit documents within agreed timelines, comply with all applicable laws in their country of residence and any jurisdiction in which they operate, notify Ocnite promptly of any material changes to their situation, and not use Ocnite services for any unlawful purpose including tax evasion, money laundering, or fraud.

5. Fees and Payment

Service fees are set out in individual service agreements. Monthly service fees are due in advance at the beginning of each billing period. Setup fees are due upon signing before onboarding begins. All fees are quoted and invoiced in Euros unless otherwise specified. Late payments may result in suspension of services after 14 days of non-payment with written notice. Cancellation requires 30 days written notice, and fees for the notice period are due in full.

6. Tax and Legal Advisory Disclaimer

Ocnite provides tax optimization structures and compliance infrastructure. We are not a law firm and do not provide legal advice. We are not a licensed tax advisor in Romania, Germany, France, or other EU jurisdictions. Our services are based on publicly available tax treaties, legislation, and professional experience. Clients are responsible for verifying the applicability and legality of any structure in their specific jurisdiction with a qualified local advisor before proceeding. Ocnite makes no guarantees regarding the tax treatment of any structure by foreign tax authorities.

7. Intellectual Property

All content on the Ocnite website, including text, graphics, logos, and service descriptions, is the property of Ocnite SRL and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent. Client data and documents remain the property of the client at all times.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ocnite's total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the event giving rise to the claim. Ocnite shall not be liable for indirect, incidental, or consequential damages including lost profits or business opportunities. Ocnite is not liable for delays caused by circumstances beyond our reasonable control, including regulatory changes, government actions, banking delays, or force majeure events.

9. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. Ocnite will not disclose client information to third parties except as required by applicable law, with the client's explicit written consent, or to service providers directly involved in delivering the agreed services under equivalent confidentiality obligations.

10. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the Republic of Moldova. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Chișinău, Republic of Moldova. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days.

11. Modifications

Ocnite reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Material changes affecting active service agreements will be communicated directly to affected clients with at least 30 days notice.
